Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Kairos service (the “Service”), which is operated by Kaan Yurdakoş (the “Operator”), a sole proprietor registered in Türkiye, trading as Kairos Labs (“Kairos”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

Kairos is an AI-powered software-as-a-service platform that enables creators to transform long-form video content into short-form clips. Features include automated clip detection, animated captions, virality scoring, scheduled publishing, and direct posting to third-party social platforms.

3. Eligibility & Accounts

You must be at least 16 years old and capable of entering into a legally binding contract to use the Service. You agree to provide accurate information during registration and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

4. Subscription Plans & Billing

The Service is offered under the following plans:

• Free — $0/month, includes 30 minutes of video processing per month.
• Pro — $15/month, includes 300 minutes of video processing per month.
• Business — $39/month, includes 1,000 minutes of video processing per month.

Paid subscriptions are billed monthly in advance through Lemon Squeezy, our merchant of record. Lemon Squeezy is responsible for payment processing, invoicing, and applicable tax collection. Unused processing minutes do not roll over between billing periods.

5. Cancellation & Refunds

You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. Subscription fees are non-refundable except where required by applicable law. We do not provide pro-rated refunds for partial months.

6. Your Content

You retain all ownership rights in the videos and other content you upload to the Service (“Your Content”). By uploading Your Content, you grant Kairos a worldwide, non-exclusive, royalty-free license to host, process, transcode, analyze, and transform Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train AI models.

7. Acceptable Use

You agree not to upload, generate, or distribute content that:

• infringes third-party intellectual property rights;
• is unlawful, defamatory, harassing, hateful, or sexually explicit involving minors;
• contains malware or attempts to compromise the Service;
• violates any applicable law or the terms of any third-party platform you publish to.

We may suspend or terminate accounts that violate this policy.

8. Third-Party Platforms

The Service integrates with third-party platforms, including YouTube, TikTok, and Instagram, via OAuth. When you connect such platforms, you authorize Kairos to publish content on your behalf as instructed by you. Your use of these platforms is governed by their respective terms of service. Kairos is not responsible for the availability, behavior, or policies of third-party platforms.

9. Intellectual Property

The Service, including all software, design, brand assets, and trademarks, is the exclusive property of the Operator. These Terms grant you a limited, non-transferable, revocable license to use the Service in accordance with these Terms; they do not transfer ownership of any Kairos intellectual property to you.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis. Kairos disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-generated clips will meet your expectations, that the Service will be uninterrupted, or that defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, in no event shall Kairos be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill. Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

12. Termination

You may close your account at any time. We may suspend or terminate your account if you breach these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including IP, disclaimers, and limitation of liability) will survive.

13. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated via email or platform notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the courts of Istanbul, Türkiye.
